Please read these Terms of Use carefully before accessing or using the Voicera AI Web App.
1. Introduction and Acceptance
These Terms of Use ("Terms" or "TOU") govern your access to and use of the web application, API, and related services (collectively, the "Service") provided by Voicera AI, Inc. ("Voicera," "we," "us," or "our"), a California corporation located at 5615 Edgewood Place Drive, Spring, TX. The Service includes Voicera's sincerity analysis platform, which uses machine learning models to analyze audio and video recordings for prosodic, acoustic, linguistic, and visual features.
By creating an account, submitting an API key request, or otherwise accessing the Service, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree, you may not access or use the Service.
You represent that you are at least 18 years of age. Voicera does not permit access by persons under 18.
2. Definitions
"Account" means a unique account created for you to access the Service or parts thereof.
"API Key" means a unique authentication credential issued by Voicera that authorizes access to the Service.
"Affiliate" means any entity that controls, is controlled by, or is under common control with Voicera, where "control" means ownership of 50% or more of the voting securities.
"Analysis Output" means any sincerity score, composite score, transcript, diarization, per-segment data, or other output generated by the Service in response to your Submission.
"Content" means any text, audio, video, or other data you upload, transmit, or otherwise make available through the Service.
"Service" means the Voicera AI web application accessible at voicera.io, the REST API at api.voicera.io, the Interview Live WebSocket endpoint, and all associated functionality.
"Submission" means any audio or video file you upload to the Service for analysis.
"You" means the individual accessing the Service, or, if accessing on behalf of an entity, that entity and the individual acting on its behalf.
3. Account Registration and Security
To access most features of the Service, you must register an Account. You agree to provide accurate, complete, and current information and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your API Key and password. Voicera will not be liable for any loss or damage arising from unauthorized use of your credentials.
You must notify Voicera immediately at support@voicera.io upon discovering any unauthorized access to or use of your Account. Voicera reserves the right to terminate or suspend any Account, in its sole discretion, for any breach of these Terms.
4. Description of the Service
The Service provides ML-based sincerity analysis of audio and video files. Key processing paths include:
- Audio analysis: Whisper-large speech-to-text transcription, speaker diarization, and four sincerity sub-models (prosody, voice quality, emotional, linguistic).
- Video analysis: MediaPipe landmark extraction, InsightFace ArcFace facial recognition, and XGBoost sincerity scoring.
- Composite analysis: Parallel audio and video processing with confidence-weighted fusion via EventBridge and a Fusion Lambda function.
- Interview Live (optional): Near real-time acoustic-only scoring via WebSocket at /ws/live. This path does not create a durable job record by default.
Analysis Output is probabilistic and reflects statistical patterns in training data. It is not a definitive determination of truthfulness, deception, mental state, or any other human characteristic. You bear sole responsibility for any decisions made in reliance on Analysis Output.
5. Permitted Use and Restrictions
5.1 Permitted Use
Subject to these Terms, Voicera grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service solely for your internal business purposes in accordance with these Terms.
5.2 Prohibited Conduct
You agree not to:
- Upload Submissions for which you lack all necessary rights, consents, and authorizations (including consent of all individuals whose voice or likeness appears in the Submission);
- Use Analysis Output to discriminate against individuals on the basis of any protected characteristic under applicable law, including race, gender, national origin, religion, disability, or age;
- Represent Analysis Output as a definitive or scientific determination of deception, truthfulness, credibility, or any legal standard;
- Use the Service in connection with any criminal investigation, civil litigation, employment decision, or other high-stakes determination without independent expert review and applicable legal compliance;
- Attempt to reverse-engineer, decompile, disassemble, or derive the underlying ML models, source code, or training data;
- Probe, scan, or test the vulnerability of the Service or any related infrastructure;
- Circumvent API rate limits, access controls, or authentication mechanisms;
- Use the Service to transmit malware, spam, or any content that violates applicable law;
- Sublicense, resell, or otherwise make the Service available to third parties without Voicera's prior written consent;
- Use the Service in any manner that could reasonably be expected to harm Voicera's reputation or expose Voicera to liability.
5.3 High-Risk Applications
The Service is NOT designed, certified, or appropriate for use in life-critical, safety-critical, or legally determinative contexts, including but not limited to: judicial proceedings, law enforcement interrogation, immigration determination, medical diagnosis, financial lending decisions, or any other application where erroneous output could cause significant harm to individuals. You assume all risk if you deploy the Service in any such context.
6. Content and Submissions
6.1 Your Rights and Responsibilities
You represent and warrant that: (a) you own or have obtained all necessary licenses, rights, consents, and permissions to submit your Content to the Service and to grant the licenses described herein; (b) your Content does not violate any applicable law, regulation, or third-party right; and (c) you have obtained the informed consent of all identifiable individuals whose voice, likeness, or biometric data is captured in any Submission, to the extent required by applicable law.
6.2 License Grant to Voicera
By submitting Content to the Service, you grant Voicera a limited, non-exclusive, worldwide, royalty-free license to process, analyze, store, and transmit your Content solely to the extent necessary to provide the Service and as described in the Privacy Policy. Voicera does not claim ownership of your Content.
6.3 Biometric Data
The Service processes voice and facial data that may constitute biometric information under applicable state law (including the Illinois Biometric Information Privacy Act and the Texas Capture or Use of Biometric Identifier Act). You represent that you have provided all required disclosures and obtained all required consents prior to submitting any Content containing biometric data to the Service. You agree to indemnify and hold harmless Voicera from any claims arising from your failure to comply with applicable biometric data laws.
6.4 Data Retention
Voicera retains Submissions and Analysis Output in accordance with the Privacy Policy. You are solely responsible for maintaining independent copies of all Content. Voicera does not guarantee against data loss or corruption.
7. Intellectual Property
The Service, including all underlying ML models (Sincerity Audio Model v1, Sincerity Video Model v1), software, algorithms, APIs, and documentation, are and remain the exclusive property of Voicera and its licensors, protected by copyright, trade secret, and other intellectual property laws. Nothing in these Terms transfers any ownership interest in Voicera's intellectual property to you.
You retain ownership of your Content and Analysis Output generated from your Content. Voicera may use aggregated, de-identified data derived from Service usage to improve and develop the Service.
Voicera's trademarks, service marks, and trade dress may not be used without prior written consent.
8. Privacy and Data Security
Voicera's collection, use, and disclosure of personal data is governed by the Privacy Policy, incorporated herein by reference. The Service is hosted on AWS infrastructure in the us-east-1 region. Data is stored in S3 (voicera-results), DynamoDB, and processed by ECS Fargate workers. No method of transmission or storage is absolutely secure. You acknowledge and accept this risk.
To the extent the Service processes personal data on your behalf, you are the data controller and Voicera acts as a data processor. You are responsible for the lawfulness of your data processing activities, including providing required notices and obtaining required consents from data subjects.
9. Third-Party Services
The Service integrates third-party components and services, including OpenAI Whisper, HuggingFace models (RoBERTa, DistilBERT, Wav2Vec2), InsightFace, MediaPipe, Google Analytics, HubSpot, and Brevo. Use of these components is subject to their respective terms and privacy policies. Voicera is not responsible for third-party services.
10. Fees and Payment
Access to the Service may be subject to fees as described in the applicable order form, API documentation, or pricing schedule. All fees are non-refundable unless otherwise stated. Voicera reserves the right to modify pricing upon notice. Failure to pay may result in suspension or termination of access.
11. Termination
Voicera may terminate or suspend your Account or access to the Service at any time, with or without notice, for any violation of these Terms or for any other reason in Voicera's sole discretion. You may terminate your Account by contacting support@voicera.io. Upon termination, your right to access the Service ceases immediately. Sections 5.2, 6, 7, 8, 12, 13, 14, 15, and 16 survive termination.
12. Disclaimers
THE SERVICE, INCLUDING ALL ANALYSIS OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. VOICERA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
VOICERA MAKES NO WARRANTY THAT ANALYSIS OUTPUT IS ACCURATE, RELIABLE, SCIENTIFICALLY VALID, OR LEGALLY ADMISSIBLE. MACHINE LEARNING MODELS REFLECT STATISTICAL PATTERNS AND ARE SUBJECT TO ERROR, BIAS, AND DISTRIBUTIONAL SHIFT. VOICERA EXPRESSLY DISCLAIMS ANY WARRANTY THAT THE SERVICE IS SUITABLE FOR USE IN LEGAL, MEDICAL, REGULATORY, OR OTHER HIGH-STAKES CONTEXTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOICERA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF VOICERA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
VOICERA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO VOICERA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, Voicera's liability is limited to the minimum extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Voicera, its Affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your access to or use of the Service; (b) your Content or Submissions; (c) your violation of these Terms; (d) your violation of any applicable law, including biometric data laws; or (e) any third-party claim that your Content infringes a third-party right.
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
15.2 Binding Arbitration
EXCEPT AS PROVIDED BELOW, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS COMMERCIAL ARBITRATION RULES. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
Exceptions: Either party may bring (a) individual claims in small claims court; or (b) seek injunctive or equitable relief to protect intellectual property.
No Class Actions: Arbitration shall proceed on an individual basis only. No class, representative, or collective arbitration is permitted.
15.3 Opt-Out
You may opt out of arbitration by sending written notice to legal@voicera.io within 30 days of first accepting these Terms. Your notice must include your name, Account email, and a clear statement of opt-out.
15.4 Venue for Non-Arbitrated Disputes
For disputes not subject to arbitration, the exclusive venue is the state or federal courts located in Los Angeles County, California. Each party consents to personal jurisdiction therein.
16. General Provisions
Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Voicera regarding the Service and supersede all prior agreements.
Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain in full force.
Waiver. Voicera's failure to enforce any provision is not a waiver of its right to do so later.
Assignment. You may not assign these Terms without Voicera's prior written consent. Voicera may assign these Terms freely, including in connection with a merger or acquisition.
Notices. Notices to you will be sent to your Account email. Notices to Voicera must be sent to legal@voicera.io or to 1920 Hillhurst, Los Angeles, CA 90027.
Export Compliance. You represent that you are not located in a jurisdiction subject to U.S. embargo and are not on any U.S. government restricted-party list.
Modifications. Voicera may modify these Terms at any time. Continued use of the Service after the effective date of any modification constitutes acceptance. Material changes will be communicated by email or notice on the Service.
